Terms of Service

These terms set out the agreement between your restaurant and SunEats. Please read them carefully — they explain your rights, our responsibilities, and how the service works.

Last updated: 11 July 2026

1. Agreement to terms

These Terms of Service (the "Terms") govern your access to and use of the SunEats platform, websites, applications, and related services (together, the "Service") provided by SunEats ("SunEats", "we", "us", or "our") at zuueats.com. By creating an account, subscribing, or otherwise using the Service, you agree to be bound by these Terms.

If you are entering into these Terms on behalf of a restaurant, company, or other organisation, you confirm that you have the authority to bind that organisation, and "you" refers to that organisation. If you do not agree to these Terms, you must not use the Service.

2. Definitions

  • Account — the account you register to access and manage the Service.
  • Subscription — a paid plan that grants access to the Service for a recurring period.
  • Branch — a single restaurant location licensed under your Subscription.
  • Your Content — the menu, pricing, orders, customer records, and other data you enter into or generate through the Service.
  • Authorised Users — the staff members and administrators you permit to use the Service under your Account.

3. Accounts & eligibility

To use the Service you must register an Account with accurate, complete, and current information. You are responsible for keeping your login credentials confidential and for all activity that occurs under your Account, including the actions of your Authorised Users.

  • You must be at least 18 years old and legally able to enter into a binding contract.
  • You are responsible for ensuring your Authorised Users comply with these Terms.
  • You must notify us promptly at hello@suneats.app if you suspect any unauthorised use of your Account.

4. Subscription plans & billing

The Service is offered on the following plans:

  • Standard — 60,000 IQD per branch, per month.
  • Pro — 150,000 IQD per branch, per month.
  • Enterprise — custom pricing agreed in a separate order or statement of work.

Subscriptions are billed monthly and in Iraqi Dinar (IQD). Payment is accepted through FIB. Unless cancelled, your Subscription renews automatically at the start of each billing period at the then-current rate for your plan.

Fees are payable in advance and, except where required by law, are non-refundable. If a Subscription lapses or a payment is not received, access to the Service may be limited or suspended until the outstanding amount is settled. We will give you reasonable notice before any suspension takes effect, and your data is retained during this period so you can restore full access by bringing your account up to date.

We may change plan pricing or features from time to time. Any change to the recurring fee for your plan will apply from your next billing period, and we will give you advance notice.

5. Free trial

We may offer a 14-day free trial of the Pro plan. No card or up-front payment is required to start a trial. At the end of the trial period, you may choose a paid plan to continue using the Service. If you do not subscribe, access to paid features will end, though your data will be retained for a reasonable period so you can subscribe later without losing it. We may modify or withdraw trial offers at any time.

6. Acceptable use

You agree to use the Service lawfully and only for legitimate restaurant operations. You must not:

  • Use the Service to break any applicable law or infringe the rights of others.
  • Attempt to gain unauthorised access to the Service, other accounts, or our systems.
  • Reverse engineer, copy, resell, or sublicense the Service except as expressly permitted.
  • Upload malicious code or interfere with the integrity or performance of the Service.
  • Use the Service to store or transmit content that is unlawful, fraudulent, or harmful.

7. Your content & data

You own Your Content. Your menu, recipes, pricing, orders, sales records, and customer data remain yours at all times. We do not sell Your Content or use it to build competing products.

You grant us a limited licence to host, process, and display Your Content solely to operate, maintain, and improve the Service for you — for example, to sync orders across devices, generate your reports, and provide support. You are responsible for the accuracy of Your Content and for ensuring you have the right to collect and use any customer information you enter. Our handling of personal data is described in our Privacy Policy.

8. Integrations & third parties

The Service can connect with third-party tools such as delivery platforms, accounting software, payment providers, and messaging services. Your use of any third-party service is governed by that provider's own terms and privacy practices. We are not responsible for third-party services and do not guarantee their availability, accuracy, or continued compatibility. Enabling an integration may involve sharing relevant data with that provider so the connection can function.

9. Service availability & support

We work hard to keep the Service available and reliable, and we provide human support in Arabic, Kurdish, and English. However, the Service may occasionally be unavailable due to maintenance, updates, or factors outside our control. We may perform scheduled maintenance and will aim to minimise disruption. Enterprise customers may receive additional availability and support commitments under a separate agreement.

10. Intellectual property

The Service, including its software, design, branding, and documentation, is owned by SunEats and protected by intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service during your Subscription. Nothing in these Terms transfers ownership of the Service or our intellectual property to you. All rights not expressly granted are reserved.

11. Disclaimers

The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that reports, forecasts, or calculations will be entirely accurate. You are responsible for verifying figures used for financial, tax, or operational decisions.

12. Limitation of liability

To the fullest extent permitted by law, SunEats will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill arising out of or relating to your use of the Service. Our total aggregate liability for any claim relating to the Service will not exceed the total amount you paid to us for the Service in the three (3) months immediately before the event giving rise to the claim.

13. Termination

You may cancel your Subscription at any time; cancellation takes effect at the end of your current billing period. We may suspend or terminate your access if you materially breach these Terms, fail to pay amounts due, or use the Service in a way that risks harm to us, other users, or third parties.

On termination, your right to use the Service ends. We will make Your Content available for export for a reasonable period after termination, after which it may be permanently deleted in line with our data retention practices.

14. Governing law

These Terms are governed by the laws of the Republic of Iraq, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the competent courts of Iraq, unless otherwise agreed in writing.

15. Changes to these terms

We may update these Terms from time to time to reflect changes in the Service or applicable law. When we make material changes, we will update the "Last updated" date above and, where appropriate, notify you. Your continued use of the Service after the changes take effect constitutes acceptance of the revised Terms.
